NOKOMIS, OSPREY, VENICE AREA REPUBLICAN CLUB CONSTITUTION AND BY-LAWS
ARTICLE I – NAME
The name of the club shall be the Nokomis, Osprey, Venice Area Republican Club or NOVA RC or ‘Club’
ARTICLE II - PURPOSE
The purpose of the Club shall be:
(a) To attract members into, and involve them in the Republican Party and subsequently provide them with a practical means of Republican Party participation, leadership training and political involvement at all levels of government.
(b) To support the principles, objectives and platform of the Republican Party and to secure the election of all duly nominated Republican candidates in the General Election.
ARTICLE III - MEMBERS
Section 1. Membership. Members must be registered Republican voters.
Section 2. Dues. The initial annual dues shall be set at $20 for a single membership and $30 for a family membership. Recommendations for dues changes will come from the Executive Board and will be approved by a simple majority of the members present at a regular meeting.
Section 3. Students from local high schools are eligible to join the Club and shall pay no annual dues.
ARTICLE IV – OFFICERS
Section 1. The officers of the Club shall be President, Vice President, Secretary, and Treasurer. Officers must be members of the Club in good standing and registered Republicans. Officers shall be elected annually at the regular January meeting of the Club and officially take office that month.
- A nominating committee consisting of three members shall be selected by the general membership at the October meeting.
- The nominating committee’s proposed slate of Officers shall be presented to the membership at the November meeting.
- Nominations for Officers from the floor shall take place at the November meeting only. The nominating committee shall be responsible for vetting these nominees.
- Any nominee must receive at least 50% of the votes to be deemed elected.
- In the event that no candidate receives at least 50% of the vote in the initial election, the top two nominees with the most votes shall participate in a runoff election to determine the winner.
- Voting in elections shall be by secret ballot unless a candidate is unopposed, whereupon a voice vote may be taken.
- The President shall preside over all meetings of the Club and its Executive Board, and exercise general supervision over all activities of the Club. The President shall have the power to appoint all committee chairmen except the Nominating Committee.
- The Vice President shall assist the President in supervising the activities of the Club, and assume the duties of the President when the President is absent or incapacitated.
(d) The Treasurer shall collect all funds paid to the Club or any of its committees, receipt thereof, and deposit it in accounts designated by the Executive Board. The Treasurer shall be responsible for making all expenditures authorized by the Club, and shall invoice members annually for membership renewal. The President may sign checks in the absence of the Treasurer. The Treasurer shall give a verbal report at each regular meeting of the Club – Beginning Balance, Receipts, Expenditures, Ending Balance, and Financial Status of the Club. The Treasurer shall also provide a similar written report at each regular Executive Board meeting. The Executive Board must approve in advance expenditures over $200.00. The Treasurer shall file all financial reports as required with the Republican Party of Florida (RPOF) and the Sarasota Board of Elections.
Section 3. All vacancies of officers shall be filled by majority vote at the next regular meeting of the Club after vacancy becomes known. In the event the office of President becomes vacant, the Vice President shall temporarily assume the office of President until a new President is elected at the next regular meeting.
ARTICLE V - EXECUTIVE BOARD
Section 1. The officers of the Club and all committee chairmen designated by the President shall constitute the Executive Board.
Section 2. The Executive Board may recommend additional committee’s for the President’s approval.
Section 3. Special meetings of the Board may be called by the President or upon written request of three members of the Board.
Section 4. The President shall establish duties and responsibilities of each committee.
ARTICLE VI – MEETINGS
Section 1. The regular meeting of the Club shall be held at the date, time and location specified, as determined by the Executive Board. The Club shall hold a minimum of six regular meetings each year.
Section 2. The regular meeting held during January shall be for, but not limited to, the election of officers.
Section 3. Special meetings may be called by the President or by the Executive Board, or by written request of ten members of the Club. At least ten days notice must be sent to members by e-mail or U.S. Postal Service stating the purpose and time, place, and date of the special meeting.
Section 4. Only members shall be allowed to vote in meetings of the Club. Pursuant to the Republican Party of Florida Rules of Procedure, proxy voting shall not be allowed in any meeting of the Club.
Section 5. 40% of the current paid membership present and voting shall constitute a quorum.
ARTICLE VII – ATTENDANCE
Section 1. It is the policy of the NOVA RC that officers and committee chairmen maintain good attendance at both the Board and Membership meetings in order to adequately perform the functions of their positions. Therefore, if an officer or committee chairman misses three consecutive meetings, without an excused absence from the NOVA RC President or a member of the Board designated by him/her to excuse an absence, that officer or committee chairman will be expelled from his/her position as an officer or committee chairman. The President or his/her designate may receive the request to be excused from the meetings either by telephone, email or U.S. mail.
Section 2. If necessary the President will name a replacement for committee chairman. The nomination for an officer’s position will be placed before the membership at the next membership meeting for a vote.
Section 3. In cases of emergency or where the committee chairman or officer was not able to inform the President or his/her designate in time for the meetings, a retroactive approval for the absences can be made only by the President.
Section 4. The only exceptions to the attendance rule are the Audit Committee which meets only periodically and the Nominating Committee which meets only to nominate Club Officers.
ARTICLE VIII – STANDING COMMITTEES
Section 1. A Finance Committee composed of the Treasurer and two other members shall be appointed by the President promptly after the annual election of officers. It shall be the duty of the committee to prepare a budget for the Club.
Section 2. A Membership Committee shall be appointed by the President promptly after the annual election of officers. This committee shall actively and vigorously promote membership in the Club among registered Republicans and/or Non-Party Affiliates (NPA’s)
Section 3. A Program and Projects Committee shall be appointed by the President promptly after the annual election of officers. It shall plan the programs and any special projects of the Club.
Section 4. An Audit Committee of three members shall be appointed by the President promptly after the annual election of officers. It shall audit the Treasurer’s accounts at the close of the preceding fiscal year and report to the members at the next regular meeting.
Section 5. A Communications Committee shall be appointed by the President promptly after the annual election of officers. It is the responsibility of this committee to oversee outreach efforts on behalf of the club such as newsletters, website, or mass mailings and e-mailings.
ARTICLE IX – OTHER COMMITTEES
Other committees, except the Nominating Committee, shall be appointed by the President as deemed necessary to carry on the work of the Club. The President shall be an ex-officio member of all committees, except the Nominating Committee.
ARTICLE X – ENDORSEMENTS
Pursuant to the Republican Party of Florida (RPOF- Rule 8) Rules of Procedure, the Club shall not endorse, or seek to influence the nomination of any candidate in a Republican primary election.
ARTICLE XI - PARLIAMENTARY AUTHORITY
The rules contained in “Robert’s Rules of Order, Newly Revised” shall govern the Club in all cases to which they are applicable and in which they are not inconsistent with these By-Laws, the Republican Party of Florida Constitution, the Republican Party of Florida Rules of Procedure, and any special rules of order the Club may adopt.
ARTICLE XII – MEMBER CONDUCT
Section 1. It is the purpose of this club to attract members into… (see Art II, sect. a.) in an effort to elect the best Republican candidates to office.
Section 2. Boisterous, loud, disrespectful and disruptive conduct will not be tolerated when conducting club business and will be grounds for dismissal from the meeting and /or club.
Section 3. Any written or electronic communications to or from the club that is derogatory, defamatory, slanderous, vulgar or otherwise offensive will be grounds for dismissal from the club.
Section 4. Any act of malfeasance on the part of any club Officer or Executive Board member is grounds for dismissal from the club.
Section 5. All members shall adhere to the Rules & Regulations For Chartered Sarasota Clubs
ARTICLE XI - AMENDMENTS TO BY-LAWS
These By-Laws may be amended at any regular meeting of the Club by a two-thirds vote of the membership present, provided that the amendment has been submitted in writing at the previous regular meeting.
